Creating a Circular Resolution

A circular resolution allows your board to make decisions without the need to hold a meeting. Once you have prepared a proposed resolution it can be sent out to your board members for approval, being deemed passed when all members have signed or when a quorum you have defined has been reached. In this post we will discuss the steps for creating a circular resolution in Athena Board.

Step 1 – Prepare and distribute the circular resolution

In the Admin Portal in the Boards/Committees menu select “Circular Resolutions”. 

Click “Create Circular Resolution”, upload a document containing your proposed resolution for signing.

Next, select the users on your board that should be provided the circular resolution for signing.

Finally, you will be able to specify additional details about your circular resolution including what email notifications you would like as users sign or abstain from the circular resolution, what the quorum for the circular resolution is if not all users need to sign the resolution for it to pass, and what the due date is for your users to respond to the circular resolution.

Step 2 – Responding to the circular resolution

Your chosen users will receive an email and an in-app notification about your circular resolution. As they respond to the circular resolution you will be able to see these responses in the Admin Portal, and optionally in your email notifications if you have elected to see the results there.

To see the results of the circular resolution in the Admin Portal click the menu button beside the status of the circular resolution and click “View responses/finalise”.

Step 3 – Finalising the circular resolution

Once all or enough of your users have responded to the circular resolution you can finalise the circular resolution which will close the circular resolution from receiving any further responses and allow you to download the final document with all users’ signatures.

To get the finalised document click the “Finalise document” button once you’re within the results view which can be accessed by clicking the “View responses/finalise” menu item on the circular resolution. You can also download the finalised document by clicking the “Download finalised document” option from the circular resolution’s actions menu.
